No-Action Letters: Advanced Search

Our new dedicated search page offers fully text searchable access to nearly 70,000 SEC No-Action Letters going back to 1971. Search on the requesting company, subject category, e.g., Regulation S-X, Investment Advisers Act of 1940), SEC Division Corporation Finance, etc.), the SEC’s stated position (you can include only letters in which the SEC is “unable to concur” with the request), and shareholder proposal-related letters (you can include or exclude requests related to Exchange Act Rule 14a-8).

The new page is perfect if you’re looking specifically and exclusively for No-Action Letter guidance. If you’re interested in seeing any and all SEC guidance on a particular issue – that is, in cross-searching across various guidance materials including No-Action Letters, C&DI, telephone interpretations, FAQs, etc. — you’ll continue to be able to do that on Knowledge Mosaic.

Private Placement Memoranda

We're excited to announce the addition of a new Private Placement Memoranda search page on Knowledge Mosaic, including over 10,000 global and domestic offerings documents of both debt and equity securities exempt from SEC registration under either Regulation S, Regulation D, and/or Rule 144A. By the fall, our collection should be approaching 20,000 documents, with coverage back to 2005. The collection will grow as we regularly update our database with new documents. Documents will be fully text searchable, and users will be able to filter by exemption type, security type, currency type, and party information, including issuer and law firm.

Item-level searching for 10-Q and 20-F

On Knowledge Mosaic, you can now search SEC form types 10-Q and 20-F at the item level.

Item-level searching is most commonly used to limit your text-search to certain demarcated sections of a filing, but it also allows you to view your results as single items –one item per result — rather than as full filings. And it lets you filter results by whether they contain the specified item.

Note that because redline comparison capability is part of item-level searching on Knowledge Mosaic, this feature is also now available for 10-Q and 20-F items.

Boolean text search added to four search pages

On four search pages -- Laws, Rules & Agency Materials; SEC Comment Letters; Model Business Documents; and Law Firm Memos -- you can now craft a text search using either Boolean or "natural language" syntax. Boolean supports operators such as AND, OR, NOT, and NEAR, plus you can organize or "nest" phrases using parentheses. Alternatively, you can simply enter text and go (as with a Google search). Results that best match your query will float to the top.

Search filter on Emerging Growth Companies

One of the key provisions of the 2012 JOBS Act was to designate a new category of public company, the Emerging Growth Company. A company declaring “EGC” status would have a substantially lighter regulatory burden, and would even have the option of submitting an IPO confidentially. Enhancements to industry filter on SEC Filings page

We've just released several upgrades to the filter for a filer's industry on our SEC Filings page. The most salient change is the addition of suggested matches on the SIC and NAICS code search boxes. So instead of having to look up separately the codes corresponding to say, keywords such as textiles, mining, or surgical instruments, simply start typing those terms directly into the search box (or boxes) to see corresponding matches. Other changes are less obvious but perhaps equally important. One is that you can now combine any (or all) of the three industry filters (SIC, NAICS, and broad industry label) to construct the most comprehensive search possible. Another is that we've mapped, behind the scenes, the very useful but rather opaque SIC codes to the intuitive, transparent English labels. That means these labels now have the comprehensiveness of SIC codes but with the user-friendliness of plain English terms.

This new feature was designed for email or Document Cart upload. When you run a search on Exhibits, 8-K items, or 10-K items – anything we call a “subdocument” (a part of the whole filing) – you’ll be able to use the checkboxes next to your results to batch-select them. So, for example, if your search on Exhibit 10 returns 78 results, you can instantly stash them all in your Document Cart with just a few clicks of your mouse.

Relevance boosting to SEC Filings text search

We’ve supplemented full Boolean text searching on the SEC filings search page with relevance boosting in the search results. This means that the results best matching your text search criteria will rise to the top. Two minor changes are now implemented to how you search. Literal text strings now require quotation marks. Wildcards will continue to work if you use them, but stemming is now the preferred method for accounting for words that share the same root.

With the new document display you are able to run a search, open some documents, and your results page stays open! Your selected documents will appear by default in a new browser tab, leaving your list of results accessible in another tab, just a quick click away. This new document display also makes it easy to open multiple documents at a time. Toggle back and forth between open documents, or between documents and the results list. Finally, the new display eliminates the need for a double scroll bar, so that scrolling through a document is a breeze.

The Document Cart is available for items from our SEC Filings page (not just whole filings, but also individual exhibits and 10-K or 8-K items) and our Laws, Rules, and Agency Materials page. Since your Document Cart is unique to you, logging in with your username and password is required to access. (If you’re part of an organization-wide license, click “Personal Access” at the upper right of your screen to get a login prompt).

Send Filings by Email Attachments

For a long time, we’ve offered the ability to send SEC filings and other documents via email – but only in the form of a hyperlink to the document, not the document itself (as an attachment). We're pleased to announce that the email attachment function is now live on our SEC Filings page.

You can access the new feature from both the search results display level and within a document itself. Accessing from the results level allows you to attach up to 25 documents in a single email — provided they do not add up to 5 MB in the aggregate (the cap is necessary because of email gateway restrictions). Simply check the box next to the selected filing(s) and click the “Email Checked” button. From there, you can opt for PDF or Word format. You can also go retro and choose to send them as good old-fashioned hyperlinks. This format, to which which the file size restriction does not apply, will remain the default setting.

With the newest version of our tracker, you can:

  • Gain control of your calendar. Search for items by date / time frame for compliance date, effective date, release date, and public comment date.
  • Find the needle in the 2,200-page haystack. Link directly to the title (and section, if applicable) of the Dodd-Frank Act that authorizes a particular agency release.
  • Locate all needles within a given clump of the haystack. Filter for rulemaking items that correspond to a title of the Act
  • Connect to the crowd. Link directly to public comments associated with a given rulemaking item (requires personal account login).

XBRL for financial data

Large accelerated filers are already required to submit their financial statement data (including Statements of Consolidated Operations and Consolidated Financial Statements) in “interactive” XBRL format -- and as of June 15, pretty much every other filer will be as well.

Our SEC Filings page now delivers this tagged data in Excel spreadsheet format, for sorting, filtering, and general slicing and dicing. You’ll find it in the results display for relevant filers and filings – most frequently, annual and quarterly reports (10-Ks and 10-Qs). Just click the “Excel” link in the document format column.

Upgrades on SEC Watchlist form groups

We’ve made a subtle but significant improvement in our platform for setting up personalized SEC Watchlist Alerts. Now, those who create or edit a Watchlist using the form type or form group parameter will be directed to a brand new window. The innovation is that manually checking boxes for form groups now autofills the check boxes for their corresponding form types.

How does this benefit you? Three ways. First, the exact content of form groups are now immediately visible and thus transparent. Second, that content is now easily manipulated: our preselected form groups can now serve as customizable templates that you can edit by manually checking or unchecking boxes. Third, you may now combine multiple form groups in a single Watchlist.

New enhancements on Exempt Offerings page

We recently unveiled several significant upgrades to our Form D Exempt Offerings page, launched earlier this year.

First, we’ve enhanced this page’s functionality in the area of Pooled Investment Funds: now, you can select from a number of subcategories of this group, including Hedge Funds, Private Equity Funds, and Venture Capital Funds.

Second, you can now filter by Issuer Size those entities (such as Hedge Funds) that report by Aggregate Net Asset Value.

Finally, we’ve greatly improved the page’s reporting capability by adding an Excel Report link, allowing you to instantly upload your search results to an Excel spreadsheet.
